The race to build AI data centers is turning into a race to connect them, and Marvell just placed one of the year’s biggest bets on that idea.
Marvell Technology and Lumentum announced on Monday, November 2, that they have signed a definitive agreement for Marvell to acquire Lumentum in an all-stock transaction. Lumentum stockholders will receive 4.5 Marvell shares for each Lumentum share. Marvell says the deal implies an enterprise value of $115 billion for Lumentum, or about $1,132 per share, a premium of roughly 23.9% to the unaffected closing prices on October 28.
Why the two fit together
Marvell brings electrical and optical interconnect, network switching and custom AI silicon. Lumentum brings high-performance lasers, optical transceivers, optical circuit switching and compound semiconductor manufacturing. The companies say the combination will let them co-design the full electrical and optical signal chain and expand their addressable market to $550 billion.
Marvell also expects more than $1 billion in annual run-rate cost synergies and says the deal should add to its non-GAAP earnings per share in the first year after closing.
Ownership and timing
After closing, current Marvell stockholders will own about 67% of the combined company and Lumentum stockholders about 33%. Matt Murphy stays on as chairman and CEO, and three Lumentum directors, including CEO Michael Hurlston, will join Marvell’s board. Hurlston told CNBC the deal creates an “enormous” opportunity.
Because it is a fixed-ratio stock deal, the final value will move with Marvell’s share price. Closing is expected in the first half of 2028, subject to shareholder and regulatory approvals.
Why it matters
As AI clusters grow, moving data between chips and racks is becoming as important as the chips themselves. Optical components are now a strategic layer of the AI stack, not a commodity.
For companies selling networking, data center and infrastructure products, buyers will be asking how vendor consolidation affects their roadmaps and supply. Clear, well-timed messaging on interoperability and supply assurance will win attention.
